In a perfect world, there would be no need for terms & conditions, but life happens. Luckily, you won't find any inscrutable, onerous, and impenetrable jargon here. I have tried to write my terms and conditions nice and straightforward.
1. I & YOU
Throughout this document Ian Q Design will be referred to simply as "I", and the client will be referred to as "you."
2. PRICE & SCOPE
The quoted project price covers the project scope as defined in the project proposal. Any change in scope during the project may result in a project amendment or new project proposal. Of course, you will be asked prior to any additional work being done.
3. PAYMENT SCHEDULE
Unless stated otherwise, for website design and graphic design, 50% of the total project price is to be paid before work on the ful website begins. The remaining 50% – as well as other related project expenses – are to be paid prior to final launch of the website or delivery of photos or tutorial session. I reserve the right to place a password on your website (which restricts access to your site) until final payment is made.
4. HOURS OF WORK & CORRESPONDENCE
One of my greatest values to clients is my easy accessibility by phone, text and email. While I am very communicative, I do not guarantee to be available at any specified future time to answer or respond immediately to texts, calls, and emails. In most cases I will try to respond briefly, arranging a time to follow up with you.
I generally hold open of office hours from 3pm to 5pm, Monday through Friday for client calls. Calls can also be scheduled at other times, based on availability.
5. PROJECT TIMELINE & PROGRESS
Work will begin on scheduled start date and continue until the project scope has been fulfilled. For Website Makeovers, if the project is delayed one week past the 4th Friday due to waiting for something on your end, I reserve the right to issue the final invoice, then compete further work at $50 per hour.
6. ROUNDS OF REVISIONS
The project has 3 rounds of final revisions built into the project timeline. Beyond these rounds, I reserve the right to require a project amendment to cover the cost of further work.
7. UNEXPECTED CIRCUMSTANCES
If for some reason you need to pause the project due to an unexpected occurrence in your life, I will do my best to continue work on your project after you return with minimal delay. However, as my income depends on taking on client work, I will obviously need to divert my attention to other client work while you are away.
8. POST-LAUNCH WEBSITE MAINTENANCE
At the end of the project, I will walk you through the basics of the website backend. You can also hire me for occasional work on the site on an invoice basis. If you would like to hire me as a regular caretaker of your site, please speak with me about custom pricing.
9. CLIENT RESPONSIBILITIES
By signing this proposal, you agree to perform the following in a reasonable and timely manner:
(a) provide agreed upon content in a form ready to be published within a website or graphic design. (b) provide feedback regarding designs and revisions.
(c) provide any account credentials necessary to complete the objectives of the project.
(d) be responsible for final proofreading
All websites created by Ian Q Design use the Squarespace platform. Squarespace is a robust platform that fulfills the needs of most websites. However, Squarespace does not have unlimited exibility to shape itself to any and every design request. I am a Squarespace expert and guarantee to fulfill any request within the capabilities of the Squarespace Standard platform.
For special requests, the Squarespace Developer Platform may be necessary and requires additional scope to this project, billed at my standard hourly rate. I do not guarantee to fulfill any request that lies outside the capabilities of Squarespace.
11. BROWSER COMPATIBILITY
My sites are optimized for all modern computers, phones, and tablets. Note that I do not guarantee your site will work flawlessly on browsers more than 3 years old or any specific version of Internet Explorer (which is notorious for incompatibilities with many websites on the internet) Your websites will still be readable, but various design formatting may be a off when viewing with old browsers or some versions of Internet Explorer.
12. DISPLAYING DESIGN WORK
I retain the right to display any and all website and/or graphic work I've done for you on my own website and/or online/ print platforms for marketing purposes. Also, I typically put a link to Ian Q Design in the footer of sites I build to help others find me. If for some reason you request that I don't include this link, I will respect your wish.
13. OWNERSHIP OF CONTENT
Upon final payment of all project fees, you own all content contained in the work I've done for you. This includes all text, images, and design. If you end up making lots of money from great ideas and content I created for you, great! I hope you'll hire me again!
Note that the domain name and website hosting fees will be paid by you directly to that company and is subject to the ownership terms with that particular company.
14. INTELLECTUAL PROPERTY
You acknowledge that all content you provide for use on a website or graphic design does not infringe upon the copyright or trademark or another company/person.
15. RESPONSIBILITY FOR PERFORMANCE OF YOUR BUSINESS
I will provide certain website, design, and marketing services, tools, insights, methods and resources to you that are intended to help you grow and build your business. However, you are ultimately fully and exclusively responsible for your own business performance and client satisfaction.
16. RIGHT TO TERMINATE PROJECT
If for some unlikely but legitimate reason, I am having difficulty working with you, including but not limited to breach of agreement as described in this document, I reserve the right to terminate the project by giving you written notice. In such case of termination, you will not be required to pay the remaining balance of the project. However, I reserve the right to keep all payments made to date, without refund. Of course, I will attempt to find a solution with you before resorting to terminating the project.
If for any reason you want to terminate the project, you have the right to terminate the project after giving me written notice 14 days prior. Within 7 days of such termination, I will invoice you for all amounts due and owing to me through the date of such termination for services provided through that date. Once paid, no further payments will be due.
17. LIMIT OF LIABILITY
I am human and can't guarantee to never make a typo or error. You agree to not hold me liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages. Compensation for legitimate grievances will be limited to the return of all payments received for the project.
In the unlikely event that I am unable to fulfill the work detailed in this document due to an injury, illness, or other cause beyond my control, responsibility and liability is limited to the return of all payments received for the project within the last calendar months of such failure.
